Scope of this Agreement.
This Agreement applies to commissioned branding, graphics, design, product, service, or assets resulting from activity in the artistic field from Jiang Atelier (collectively known as “commissioned product or services”). This Agreement governs the relationship between the parties and in no communication or other exchange, shall modify the terms of this Agreement unless agreed to in writing.
Jiang Atelier Streaming License
Cost of License.
A standard commercial license, provided with every commission, will have the compensation fee of 30% factored into the initial commission price chosen by the Artisan and given to the Client by Jiang Atelier by default. This license can be removed with approval and consent from the Artisan and Jiang Atelier in a recorded agreement.
Ownership of Assets.
All rights in and to any commissioned branding, graphics, design, product, service, or assets resulting from activity in the artistic field from Jiang Atelier are co-owned by the Artisan and the Client upon completion and delivery of the commissioned product or service.
Clientele Obligation.
The Client cannot use the commissioned branding, graphics, design, product, service, or assets resulting from activity in the artistic field from Jiang Atelier for any purposes other than as specified in the Terms Of Service and Commercial License.
Ownership of License.
The Client will not distribute, sell, transfer, or sub-license, trade, or expose the sale of the commissioned branding, graphics, design, product, service, or assets resulting from activity in the artistic field from Jiang Atelier to any third party.
Duplicating the Asset.
The Client will not copy, duplicate, or reproduce the commissioned branding, graphics, design, product, service, or assets resulting from activity in the artistic field from Jiang Atelier without purchasing an Extended Commercial License from Jiang Atelier in a recorded agreement.
Modifications of Assets.
The Client will not modify or edit the commissioned branding, graphics, design, product, service, or assets resulting from activity in the artistic field from Jiang Atelier to any degree without approval and consent from the Artisan and Jiang Atelier in a recorded agreement. Heavy modifications or edits are strictly prohibited, only minor or moderate modifications or edits have a potential for approval and consent.
Non-Exclusivity.
This agreement is non-exclusive and Jiang Atelier and their Artisans may contract with other entities to provide the same services to other Clients with the same Terms of Service and Streaming License. Client is free to engage others to perform services of the same or similar nature to those provided by Jiang Atelier and the Artisans. Jiang Atelier is entitled to solicit other clients and otherwise advertise the services offered by Jiang Atelier.
Commercial License
An extended or exclusive commercial license will incur a 100% fee to all products or services commissioned and delivered from Jiang Atelier to the Client. An extended Commercial License allows for the duplication and reproduction of the commissioned branding, design, product, service, or assets resulting from activity in the artistic field from Jiang Atelier for the sole purpose of producing digital and physical merchandise.
